Senior Legal Counsel

Tujuan Umum Jawatan

This is an exciting opportunity for a seasoned, fully qualified, approximately seven-to-ten-year experienced corporate lawyer with experience in the healthcare sector to lead the Legal function within Malaysia & Singapore, joining a broader legal department of a major international corporation. The role would suit an intelligent all-rounder with solid foundations in corporate and commercial matters, mergers and  acquisitions (M&A), contracts, medical law and data privacy and protection.

Our aspiration in Malaysia is to grow from 42 clinics today to 100+ in the next few years, through a mix of acquisitions and new clinic build-outs (also known as “DeNovos”). As such, we are looking for a proactive, energetic and talented individual with demonstrated experience of leading and/or assisting on corporate M&A deals and commercial contracts, either within a law firm or in-house with a Malaysian healthcare provider.

The main purpose of the role is to manage legal risks and provide sound, commercial legal advice across all business lanes in the Malaysian business. As Legal Counsel, you will also act as the internal Data Protection Officer and be the point of contact for data incidents. You will be informing and advising the business on data protection regulations in Malaysia & Singapore and monitoring compliance with the company’s data protection policies, the PDPA and other applicable data protection provisions. You will also be expected to provide training to employees and management with respect to data protection requirements.

Exposure to leases, real estate and employment would be highly advantageous, although it is anticipated that these areas may require additional support from external counsel. There is also expectation that the role will manage company secretarial and corporate governance matters for the operating Malaysia & Singapore entities.

Candidates must have demonstrable experience of the above as well as excellent oral and written communication skills, presentational skills and attention to detail. The candidate should be proficient in leading commercial/healthcare contract negotiations, preparing legal documents, presentations and ideally should have prior experience in legal entity company secretarial/corporate governance management. We are looking for an organised, diligent individual who is a true team player and who is comfortable with leading legal initiatives with minimal supervision, multi-tasking and working both independently and in a team, in a fast-paced environment.

The following duties and responsibilities generally reflect the expectations of this position but are not intended to be all inclusive.

  • Assist the Malaysia & Singapore operations team with all legal matters, including leading on negotiation of contracts, corporate M&A deals and data protection matters.
  • Act as the internal Data Protection Officer for the Malaysian business by providing ad hoc advice, preparing and delivering internal training as required and ensuring a timely and valid registration with the Commissioner.
  • Identifying and effectively managing legal risk.
  • Take instructions and support the General Manager in Malaysia/Singapore and the International General Counsel including other lawyers in the International Legal Department as required.
  • Manage real estate and employment law matters relating to the Malaysia/Singapore business, with support from external counsel where required.
  • Managing the Company’s lease portfolio and to maintain a detailed tracker on the Company’s tenancy agreements and agreements with doctors engaged by the Company
  • Provide sound, commercial legal advice across all business lanes.
  • Act as Company Secretary for the operating Malaysian entities, and comply with internal corporate governance procedures and processes.
  • Demonstrate excellent communication, interpersonal organisational and presentation skills, strong research and report generating skills.
  • Use and maintain internal contract management software.
  • Use and keep updated the internal data privacy management software.
  • Closely collaborate with internal departments in aligning operational activities with data protection legislation and DaVita’s privacy and security policies.
  • Legal file management: including the opening, closing, archiving and retrieval of legal files in accordance with the appropriate procedures.
Kelayakan Minima

Education, licenses, certifications, and experience required to fulfill the essential duties, including computer skills as required

  • Qualified to practice as an advocate and solicitor in Malaysia with at least 7 years PQE working in a law firm or in-house legal department with a focus on healthcare.
  • At least a Bachelor’s degree in Law is required at a legally recognised institution.
  • Current practicing certificate (if applicable) and/or CLP Examination certificate.
  • Solid corporate law background with commercial contract drafting skills, medical law advisory work and a minimum of 3 years’ experience in data privacy.
  • Good knowledge on the PDPA and its requirements.
  • Proficiency in relevant computer skills, e.g., Microsoft Word, Excel and PowerPoint skills.
  • Experience with company secretarial matters and corporate governance, including online filings.
